Tender Offer

The Board of Directors has authorized the purchase of 300,000 shares of Company stock this calendar year at a price equal to 90% of the last available book value, on a consolidated basis. The Board of Directors also reserves the right to revoke or modify this offer at any time.

As of December 31st, 2025, this adjusted book value is $5.295 per share.

Dividend Adjustment

The board declares dividends in the February and August board meetings. Shareholders on record as of March 31 or September 30 will receive the dividend, even if they sell their shares afterward.

To keep the tender process fair, beginning the very next day (April 1 and October 1), the tender price will be adjusted downward to reflect the dividend you will receive.

The updated tender price will be calculated as:
(latest published book value - dividend) x 90%

This tender price will apply until the next tender price is published.

Semi-Annual Dividend

The next cash dividend will be paid on April 10, 2026 in the amount of 14.5 cents per share to stockholders of record at the end of the month preceding payment.

Dividends are typically declared semi-annually by the board of directors, to be paid each April and October.
